1. Provider and service
QDivZero is operated by Valendra Tech S.L., NIF B22798409, Calle Larga 43, 11402 Jerez de la Frontera, Cádiz, Spain. You can contact us at support@valendra.tech.
QDivZero provides cloud infrastructure, deployment tools, APIs, and related services that let customers run models and workloads selected and configured by them. Unless a product page expressly says otherwise, QDivZero is not the author, publisher, or operator of a customer's model or generated content.
2. Eligibility, accounts, and organizations
You must be legally able to enter into these terms and must provide accurate account and billing information. You are responsible for protecting credentials, API keys, and organization access, and for promptly reporting unauthorized access.
- Keep your credentials and API keys confidential.
- Give organization members only the permissions they need.
- You are responsible for activity performed through your account or organization unless it resulted from our breach of a non-excludable legal duty.
3. Infrastructure use and acceptable use
You must use the service lawfully and follow applicable privacy, intellectual-property, confidentiality, export-control, security, and sector-specific rules. You must not use QDivZero to facilitate unlawful activity, compromise systems, infringe rights, or evade usage and security controls.
- Choose and configure models and workloads lawfully.
- Have the rights and permissions needed for every prompt, file, input, instruction, and dataset you send.
- Prevent deployed models and infrastructure from being used for unlawful or harmful purposes.
- Assess and supervise outputs before relying on, publishing, or using them in decisions.
4. Generated content and user responsibility
QDivZero does not proactively filter, review, approve, classify, or moderate generated content. We may restrict access or act after a valid authority order or legally effective notice, but that does not create a general monitoring, pre-approval, or moderation service.
We do not guarantee that a model or its output is accurate, complete, safe, lawful, original, non-infringing, or fit for a particular purpose. Model output is not legal, medical, financial, safety, or other professional advice.
You are responsible for your model selection and configuration, prompts, inputs, files, outputs, downstream decisions, and use of deployed infrastructure. You must assess outputs and respond to claims arising from your model, inputs, outputs, and use. This allocation does not remove any statutory obligation that Valendra cannot lawfully exclude as an infrastructure or hosting provider.
5. Credits, prices, taxes, and refunds
QDivZero may offer prepaid credits. Prices, applicable taxes, minimums, and any expiry or usage conditions are shown before purchase. Stripe processes card payments and may provide payment, tax, and invoice services under its own terms. We issue or make available invoices and billing records as required by law.
- Mandatory consumer rights always prevail.
- Where a consumer has a legally applicable right of withdrawal, unused balance is refunded according to the applicable rules.
- Credits already consumed through inference, storage, deployment, tools, or other usage are not voluntarily refundable, without limiting mandatory statutory remedies or a proportional remedy where the law requires it.
- Duplicate, unauthorized, or technically failed charges may be refunded after verification.
- Discretionary requests outside those cases are handled by support and are not promised as an automatic right. Required refunds use the original payment method where legally required and within the applicable statutory deadline.
The service or digital content may begin immediately when you request it. When applicable, we will ask for your express request and separate acknowledgment that execution or consumption may affect the right of withdrawal. Any withdrawal exception applies only to the extent permitted by law.
6. Availability and third-party infrastructure
Availability can depend on cloud, network, payment, model, and other third-party infrastructure. Maintenance, capacity limits, security events, and beta or preview features may temporarily affect the service. We will use reasonable care to operate the service and communicate material interruptions where appropriate, but no uninterrupted or error-free availability is promised unless a separate written service level says so.
7. Intellectual property and permissions
Valendra and its licensors retain rights in QDivZero, its software, interfaces, documentation, and trademarks. You retain rights you have in your inputs and outputs, subject to the model, dataset, and third-party rights that apply. You grant us only the permissions reasonably needed to provide, secure, and support the service. You must not upload material you have no right to process or publish.
8. Suspension and termination
We may suspend or limit access when reasonably necessary for security, non-payment, capacity, misuse, a legal obligation, or a valid authority request. We will consider the circumstances and restore access when the reason no longer applies where appropriate. You may stop using the service and close your account. Data, deployments, logs, and remaining credits are handled according to these terms, the service configuration, and applicable law; termination does not remove accrued payment or legal obligations.
9. Warranties and liability
To the maximum extent permitted by applicable law, the service is provided without warranties beyond those that cannot legally be excluded. Nothing in these terms excludes or limits liability for fraud, wilful misconduct, death or personal injury caused by negligence, breach of mandatory consumer rights, or any other liability that cannot legally be excluded or limited.
10. Changes, support, and disputes
We may update these terms for legal, security, or service reasons. We will publish the new version and, when required, give notice before it applies. Your continued use after the effective date means the updated terms apply to future use, without affecting rights that already accrued. Questions and complaints can be sent to support@valendra.tech.
Spanish law applies subject to mandatory consumer protections. Consumers may use the courts and out-of-court dispute routes available to them under applicable law. Business users submit disputes to the competent courts under the applicable procedural rules.
